1. 服务说明
YC Web Studio(以下简称"我们")为加州地区华人小商家提供官网制作、开发、优化及相关咨询服务。使用我们的网站或与我们达成服务协议即表示您同意本服务条款的全部内容。
2. 项目合作
正式项目开始前,双方将签署服务协议,明确项目范围、交付物、时间节点及付款安排。通常采用 50% 定金开始制作、50% 尾款在正式上线前支付的方式。具体条款以书面协议为准。
3. 交付与修改
我们承诺在约定时间内完成交付。上线前您可进行合理范围内的修改,修改次数及范围以服务协议为准。超出约定范围的修改可能产生额外费用,会提前告知。
4. 知识产权
项目完成并结清尾款后,网站的源代码及设计稿归客户所有。客户保证所提供的文字、图片等内容不侵犯任何第三方知识产权,由此引发的法律责任由客户承担。
5. 搜索排名声明
我们提供专业的本地 SEO 优化服务,但无法保证特定关键词的 Google 排名位置或具体流量增长数字。搜索引擎排名受多种外部因素影响,任何声称"保证第一名"的承诺均不可信。
6. 客户配合义务
我们承诺在约定时间内完成交付。为不影响项目进度,客户需要在项目开始后及时提供完整的商家资料,包括名称、logo、地址、电话、服务内容、价格、图片和社交媒体链接等。如因客户资料延迟导致项目延期,交付时间将相应顺延。
7. 责任限制
在适用法律允许的范围内,我们对因使用本网站或我们服务所造成的任何间接损失、数据丢失或业务中断不承担责任。我们的最大赔偿责任不超过您实际支付给我们的服务费用总额。
8. 条款变更
我们保留随时修改本服务条款的权利。修改后的条款将在本页面更新并注明修改日期。继续使用我们的服务即视为接受更新后的条款。
9. 适用法律
本条款受美国加利福尼亚州法律管辖。如发生争议,双方应首先协商解决;协商不成的,提交加利福尼亚州洛杉矶县有管辖权的法院处理。

1. Services
YC Web Studio ("we") provides website design, development, optimization, and related consulting services for Chinese small businesses in California. By using our website or entering into a service agreement with us, you agree to these Terms of Service.
2. Project Engagement
Before any project begins, both parties will sign a service agreement specifying scope, deliverables, timeline, and payment terms. Standard payment is 50% deposit to start, and 50% final payment before official launch. All specific terms are governed by the written agreement.
3. Delivery & Revisions
We commit to delivery within the agreed timeline. Reasonable revisions before launch are included as specified in the service agreement. Revisions beyond the agreed scope may incur additional fees, which will be communicated in advance.
4. Intellectual Property
Upon full payment, all source code and design assets created for the project become the client's property. The client warrants that any content provided (text, images, etc.) does not infringe any third-party intellectual property rights and is solely responsible for any resulting legal claims.
5. Search Ranking Disclaimer
We provide professional local SEO services but cannot guarantee specific Google rankings for any keyword or specific traffic increases. Search rankings are influenced by many external factors. Any promise of "guaranteed #1 ranking" from any provider should be treated with skepticism.
6. Client Cooperation
We commit to delivering within the agreed timeline. To avoid project delays, the client must provide complete business materials promptly after project start, including business name, logo, address, phone, services, prices, photos, and social media links. If delivery is delayed due to late client materials, the timeline will be extended accordingly.
7. Limitation of Liability
To the maximum extent permitted by applicable law, we are not liable for any indirect damages, data loss, or business interruption arising from use of our website or services. Our total liability shall not exceed the total fees you have actually paid us for the relevant services.
8. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on this page with a revised date. Continued use of our services constitutes acceptance of the updated terms.
9. Governing Law
These Terms are governed by the laws of the State of California, USA. In the event of a dispute, the parties will first attempt to resolve it through negotiation. If unsuccessful, disputes shall be submitted to a court of competent jurisdiction in Los Angeles County, California.
